Terms of Service

Effective date: 24 May 2026

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Promptora ("we", "us", or "our"), governing your access to and use of the website at https://www.promptora.shop and all associated services, APIs, and content (collectively, the "Platform").

By accessing or using the Platform, creating an account, purchasing or listing any digital goods, or clicking any button indicating acceptance, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you personally and that entity.

If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility

You must be at least 16 years of age (or 18 where required by applicable law) to use the Platform. By using the Platform you represent and warrant that you meet this age requirement, are not barred from using the Platform under any applicable law, and have full legal capacity to enter into these Terms.

3. Account Registration and Security

To access certain features of the Platform you must register for an account. You agree to:

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are associated with fraudulent activity.

4. The Marketplace

4.1 Nature of the Platform

Promptora operates a digital marketplace that enables sellers to list AI prompts, workflows, agent instruction sets, and related digital assets ("Receipts") for purchase by buyers. Promptora is not a party to any transaction between buyers and sellers except as expressly stated herein. Promptora acts as a limited payment collection agent on behalf of sellers solely for the purpose of processing payments.

4.2 No Endorsement

The listing of a Receipt on the Platform does not constitute endorsement, validation, or guarantee by Promptora of the quality, accuracy, fitness for purpose, or originality of that Receipt. Buyers purchase at their own risk subject to Section 10.

5. Seller Terms

5.1 Eligibility to Sell

To list Receipts for sale you must complete the onboarding process, provide a valid username and profile, and where required, connect a Stripe account to receive payouts. You represent that you are legally permitted to sell digital goods in your jurisdiction.

5.2 Content Ownership and Licence

By listing a Receipt, you represent and warrant that: (a) you are the original author or have all necessary rights, licences, and permissions to sell the content; (b) the Receipt does not infringe any third-party intellectual property rights, privacy rights, or any applicable law; (c) the Receipt does not contain malicious code, scripts, or any content designed to cause harm.

You retain ownership of your intellectual property. By listing a Receipt, you grant Promptora a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display the Receipt metadata (title, summary, tags, outcome media) on the Platform for the purpose of operating the marketplace. This licence does not extend to the encrypted Receipt content itself.

Upon a successful purchase, you grant the buyer a non-exclusive, non-transferable, personal licence to use the purchased Receipt content for their own commercial or personal purposes, subject to Section 6.3.

5.3 Prohibited Content

You must not list Receipts that:

  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property right of any party.
  • Are designed to generate content that is illegal, defamatory, harassing, threatening, obscene, or that promotes violence, discrimination, or hatred.
  • Facilitate or encourage illegal activities including but not limited to fraud, hacking, phishing, or circumvention of security systems.
  • Contain malware, viruses, trojans, or any other harmful or destructive code.
  • Are fraudulently described, misrepresented, or duplicate existing listings without meaningful differentiation.
  • Violate the usage policies of any AI model referenced in the listing.

We reserve the right to remove any listing at our sole discretion without prior notice.

5.4 Pricing

You set the price for your Receipts in US dollars. The minimum listing price is $0.50 USD. You may change the price of a listing at any time; price changes apply only to future purchases.

5.5 Fees and Payouts

Promptora charges a platform commission on each sale. The current commission structure is approximately 22% of the transaction value (inclusive of Stripe processing fees), resulting in a seller payout of approximately 78% of the sale price. The exact payout is calculated and displayed at the time of each transaction. Promptora reserves the right to modify its commission rates with 30 days' written notice to active sellers.

Payouts are processed via Stripe Connect to your connected bank account or debit card. Payout schedules are governed by Stripe's standard payout terms. Promptora is not liable for delays caused by Stripe or your financial institution.

5.6 Taxes

You are solely responsible for determining and paying all applicable taxes on your earnings from the Platform, including income tax and VAT/GST where applicable. Promptora may be required by law to collect and remit certain taxes in certain jurisdictions; where applicable, this will be communicated to you.

6. Buyer Terms

6.1 Purchases

All purchases are final at the time of payment processing. By completing a purchase, you enter into a binding contract with the seller for the delivery of the specified Receipt.

6.2 Refund Policy

Due to the digital and immediately downloadable nature of Receipts, all sales are final and non-refundable once the Receipt content has been unlocked, downloaded, or called. Review a Receipt's description, outcome examples, and complexity level carefully before purchasing.

A Receipt is authored and supported by its seller, not by Promptora. Questions about what a Receipt does, whether it fits your use case, or how to get it working are between you and the seller in the first instance. Promptora processes the payment and operates the gateway; it does not warrant any individual Receipt's fitness for your purpose.

Wallet top-ups are treated differently, because a top-up is prepaid credit rather than a completed purchase. You may request the unspent portion of your wallet balance back at any time, and it will be refunded to the payment method you topped up from. Credit already spent on a purchase or on metered calls is not refundable, for the reasons above.

Nothing in this refund policy affects your statutory rights under the Consumer Rights Act 2015 (UK) or equivalent consumer protection legislation in your jurisdiction.

6.3 Licence to Use Purchased Content

Upon successful purchase, the seller grants you a non-exclusive, non-transferable, worldwide, perpetual licence to use the Receipt content for your personal or commercial purposes. You may not: (a) resell, redistribute, sublicence, or share the Receipt content with any third party; (b) publish, post, or make the Receipt content publicly available in any form that would enable others to access it without purchasing; (c) claim authorship of the Receipt content. Violation of these licence terms may result in account suspension and legal action.

6.4 No Guarantee of Results

AI prompts, workflows, and agent instructions are tools whose output depends heavily on the context, platform, and manner of use. Promptora and sellers make no guarantee that purchased Receipts will produce any specific result or outcome.

7. Intellectual Property

7.1 Platform Ownership

The Platform, including its design, software, source code, trademarks, logos, and all Promptora-created content, is owned by or licensed to Promptora and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our express written consent.

7.2 Feedback

If you submit feedback, suggestions, or ideas about the Platform, you grant Promptora a perpetual, irrevocable, royalty-free, worldwide licence to use such feedback for any purpose without obligation to you.

7.3 DMCA / Copyright Complaints

If you believe that content on the Platform infringes your copyright, please send a notice to legal@promptora.shop including: (a) a description of the copyrighted work; (b) a description of the infringing material and its location; (c) your contact information; (d) a statement of good faith belief; (e) a statement of accuracy under penalty of perjury; and (f) your signature. We will respond to valid notices in accordance with applicable law.

8. Prohibited Conduct

You agree not to:

9. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

10. Disclaimers and Limitation of Liability

10.1 Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, RECEIPTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. PROMPTORA DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT ON THE PLATFORM.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROMPTORA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PROMPTORA'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PROMPTORA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) £100 GBP.

10.3 Consumer Rights

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law, including your statutory rights as a consumer.

11. Indemnification

You agree to indemnify, defend, and hold harmless Promptora and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) any content you upload, list, or transmit through the Platform; (d) your infringement of any third-party right including intellectual property rights.

12. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include but are not limited to violation of these Terms, fraudulent activity, or conduct harmful to other users or the Platform.

You may terminate your account at any time by contacting us at legal@promptora.shop. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 5.2, 6.3, 7, 10, 11, 13, and 14) shall survive.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

13.2 Dispute Resolution

We encourage you to contact us first at legal@promptora.shop to resolve any dispute informally. If a dispute cannot be resolved within 30 days, either party may pursue formal legal proceedings.

13.3 Jurisdiction

Subject to your statutory rights, you agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms. If you are a consumer resident in the EU, you may also have access to the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Promptora regarding the Platform and supersede all prior agreements.

14.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

No failure or delay by Promptora in exercising any right under these Terms shall constitute a waiver of that right.

14.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or a prominent notice on the Platform at least 14 days before taking effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
